Anguilla is a British Dependant Territory, located in the Caribbean and as such it enjoys a high degree of political stability. Anguilla has, since 1992 (and specifically in 1994), introduced and adopted numerous pieces of modern financial service legislation. These laws were drafted with the involvement of all elected legislators, with the advice of the private sector practitioners, and the consent of British Government representatives.
Taxation
Anguilla is truly a neutral tax jurisdiction. There are no income, capital gains, gift, inheritance or other forms of direct taxation on either individuals or corporations, whether resident in Anguilla or not.
Anonymity
Anguilla International Business Company (IBC) offers total anonymity and confidentiality and the country itself has not entered any information-sharing agreements with foreign organisations or countries in exchange for financial aid.
The Registrar of Companies does not require information on the beneficial owner and details of the directors and shareholders are not part of the public record. This information is only known by the licensed registered agent of the company and is strictly confidential. Internal files such as the Register of Members, Register of Directors and minutes and resolutions are kept at the offices of the registered agent and also confidential.
The Memorandum of Association and the Articles of Association are the only documents belonging to Anguilla International Business Company (IBC) held on public record, although these contain no information on the shareholders or beneficial owners.
Company Structure
The name of an IBC must end in one of the following: Ltd, Corp, Inc, SA, NV or GmbH. Confirmation on the availability of a name can be quickly obtained.
An IBC requires a minimum of one director and one shareholder, and these may both be corporate entities and of any nationality. Meetings of directors and shareholders may take place anywhere in the world, and may be conducted by telephone.
Although a secretary is not required one may be appointed, and may be a corporate entity and of any nationality.
The standard Authorised Share Capital of an IBC is US$50,000 of which at least 1 share must be allotted; minimum paid-up share capital is US$1. Bearer shares are also allowed if desired.
A local registered agent is required, at which address the company will be registered. We have a good relationship with one of the largest and most highly regarded registered agents in the Anguilla and their preferential fees are included within our own.
The incorporation process usually takes one to two working days, but if your requirements are more immediate, off-the-shelf companies are also available.
